Background and purpose
Dentlet is developed and designed to be a marketplace, which allows users to buy dental items from dental equipment suppliers. The company is not a traditional auctioneer business, but is offering an online marketplace where a customer and a seller is connected with the purpose of doing business together.
The purpose of www.dentlet.com is to provide the contact between a customer and a seller, and Dentlet is not responsible for any of the trades entered into because of the contact provided by the use of the website and Dentlet’s services. Dentlet is not an intermediary in connection to the trades but only in connection to the contact between the two parties.
Introduction
This end-user license agreement (The Agreement) is a legally binding contract between the licensor (Dentlet) and the licensee (The Customer), which establishes The Customer’s right to use the software available on the website. The Agreement establishes the relationship between Dentlet and The Customer and has nothing do with transactions entered into between The Customer and a third party dental equipment supplier (The Seller).
The Agreement becomes binding upon acceptance, and The Customer cannot use the services on www.dentlet.com without accepting The Agreement. When accepted, The Agreement is binding for both parties. If you do not agree with the conditions in this Agreement, then you should not register as a user on www.dentlet.com.
The Agreement is binding between Dentlet and The Customer, and it covers all offers provided by Dentlet, including all services, applications and software tools available on www.dentlet.com.
By accepting The Agreement, you enter into a contract with DentletApS, Klarupvej 12 F, 9270Klarup, Denmark. Therefore it is important that you read the conditions carefully before acceptance.
License period
This Agreement is effective upon acceptance, and expires after a period of twelve months. The Agreement will be renewed automatically, unless The Customer has terminated The Agreement.
Software product license/scope of The Agreement
By acceptance of The Agreement, The Customer gets the right to use all the services available on the website. The Customer does not own any rights to the website, but only a temporary, limited right to use the services provided at the website and all the included services. Dentlet owns all the rights to the website. Dentlet is allowed to give others a similar right to use it. The licenses given by Dentlet are limited and expire at the end of The Agreement.
The right to use the licenses given by Dentlet is personal and non-transferrable. The right to use the website can only be transferred if Dentlet gives permission to do so.
Limitations of liability
Dentlet does not necessarily have possession, ownership, license or any legal rights to the products available and advertised on the website. Dentlet is not involved in the actual transaction between The Customer and The Seller, but is only the promoter of the contact between them. Dentlet is not a party in the agreements between The Customer and The Seller and is not liable for the content of the agreements or any breach of contract in connection to these agreements.
As a neutral party Dentlet do not have the legal obligations to review all the listings and all of the content posted on our website, but if The Customer observes any content that does not comply with Dentlet’s rules, do not hesitate to contact us and we will investigate the content in question and take action if necessary.
Dentlet is not able to guarantee The Seller’s ability to sell the item, nor The Customer’s ability to pay for the item. Dentlet cannot guarantee that a Customer or a seller will actually complete the transaction as agreed between the parties or return an item as promised. Furthermore, Dentlet is not liable for the condition of the items or for any defects in the goods sold on the website. However, our policies are clear, and users who do not follow the policies will be banned without further notice.

The services on www.dentlet.com will be at your disposal as soon as you have accepted The Agreement.
Dentlet strives to offer reliable data, but cannot promise that all of the online content always is accurate and up-to-date, and Dentlet is not responsible for inaccuracies in their online catalogue. Dentlet strives to secure that the website is fully functional at all times, but cannot guarantee that there will not become problems with the server or the connection to website.
The online content on www.dentlet.com includes copyrighted, trademarked or other proprietary materials, and upon acceptance, The Customer agrees not to remove any copyright, proprietary or identification markings included within the catalogue or create any similar products bases on the content of the website.
All rights to the website, including intellectual property rights, belong to Dentlet unless otherwise stated on the website. Every use of these rights will require permission from Dentlet unless Danish law prescribes something else in the particular situation.
Abuse of Dentlet
Dentlet may limit, suspend or terminate the services provided by them without notice if they find that www.dentlet.com is misused by The Customer. Misusing can be, but is not limited to, causing problems, legal liabilities, violation of Dentlet’s terms of use or policies, failure to pay any fees by due date, infringing or doing harm to Dentlet’s employees or people using the site or failure to verify or authenticate information provided to Dentlet.
Furthermore, Dentlet reserves the right to remove any content that breaches with Dentlet’s values, or can be viewed as offensive in the general conception of society. Any restrictions to improve security, communication or exposure to financial liability can also cause limitations in the use of www.dentlet.com.
Terms of payment

Disputes and applicable law
Any dispute, controversy or claim arising out of the connection with this Agreement, or breach, termination or invalidity thereof, shall be finally settled by The Danish Institute of Arbitration in accordance with the rules of arbitration procedure adopted by The Danish Institute of Arbitration and in force at the time when such proceedings are commenced. The arbitration proceeding shall be held in Aalborg, Denmark and conducted in the English language. The Institute of Arbitration must use the Danish law.
